Priscilla has assisted and worked on various transactions including:

  • assisting the Partners in acting as PNG Counsel for Baker and McKenzie- Singapore (lawyers for Tokio Marine and Fire Insurance Company Ltd) in underwriting the legal due diligence involving the acquisition of a target company, Markham Agro Pte Ltd
  • assisting the Partners in acting as PNG Counsel for Mayer Brown JSM (lawyers for Sinohydro Corporation Limited) in conducting a limited legal due diligence on the Ramu II Hydro Power Project
  • assisting the Partners in acting as PNG Counsel for Qube Bulk Pty Ltd, Qube Holdings Ltd and Qube Logistics (Australia) Pty Ltd in conducting a comprehensive review of various documents relating to Crane & Haulage Partners Holdings Ltd’s (C & H Partners Holdings Ltd) operations in PNG and providing a legal opinion on the acquisition of C & H Partners Holdings Ltd
  • drafting various commercial documents for clients including: Constitutions for various legal entities, Shareholders Agreements, Management Agreements, Lease Agreements, Memoranda of Understanding, Memoranda of Mortgage, Deeds of Trust, Deeds of Loan, Deeds of Mutual Release & Settlement, Deeds of Guarantee, Credit Applications and general commercial agreements
  • providing corporate services for the firm’s corporate clients
  • incorporating and deregistering various legal entities in PNG
  • conveyances of property
  • providing general advice on PNG laws
  • (in litigation) assisting the Partners in:
  • obtaining Letters of Administration
  • conducting recovery actions and liquidation proceedings in the National Court of Papua New Guinea
  • conducting and defending liquidated and unliquidated claims in the National Court of Papua New Guinea
  • human rights proceeding involving referral of a leader to a Leadership Tribunal under the Organic Law on Duties and Responsibilities of Leadership
